unkrypt Amend — Terms of Service

Version 1.1 — 8 October 2026.

Effective date: 8 October 2026
Provider: Ryohei Mizuno, trading as unkrypt (“we”, “us”)
Business address: 3-7-3 Azuma, Kashiwa-shi, Chiba 277-0014, Japan (see Operator notice)
Legal form: sole proprietor; unkrypt is a trading name, not an incorporated entity.
Contact: support@unkrypt.com. Support time zone: Asia/Tokyo (JST). Email is accepted at any time; there are no fixed support hours or guaranteed response times. Statutory deadlines and timely business-information disclosure are unaffected.

1. Agreement and eligibility

These Terms govern unkrypt Amend (the “Service”) between the Provider and the business identified in the accepting Shopify merchant account (“you”). You must have authority to bind that business and grant access to its store. The Service is intended for business use, not personal household use. That intention does not remove mandatory protections that apply to an individual or small business.

The agreement begins when an authorized person expressly accepts the version presented during onboarding or subscription. The accepted plan, these Terms and, where applicable, the Data Processing Addendum form the agreement. The Privacy Policy explains personal-data handling; acknowledging it is not consent to every form of processing. A negotiated written agreement prevails over conflicting standard terms; the DPA prevails for processing entrusted personal data. Mandatory law prevails throughout.

The initial Service is available only to businesses established and operating outside the European Economic Area (EEA) and United Kingdom. You must confirm this eligibility and notify us before it changes. Shopify business-country checks and listing restrictions support this limit; a different currency, VPN or address entered to bypass it does not establish eligibility. Do not use the Service for personal-data processing related to offering goods or services to, or monitoring, people in those regions. Non-personal supplier price lists can originate elsewhere. We do not target individuals in the EEA/UK or monitor storefront visitors. A regional restriction does not remove any statutory rights that otherwise apply. If availability changes, new processing stops; exports, cancellation assistance and applicable unused-fee remedies remain available.

2. What the Service does

The Service reads supported supplier price, product and availability documents, prepares proposed changes, stores supplier reference information, and can update permitted Shopify reference costs and separately approved base variant selling prices according to the rules and approvals you configure. Specific approval can also create a draft product or an unpublished variant, subject to supported Shopify capabilities.

The Service can prepare purchase-order CSV files, retain confirmed purchase and adjustment evidence, and match that evidence to Shopify receiving records. Under an explicitly selected policy, an approved latest received unit cost can update Shopify cost.

The Service does not send supplier orders, add received quantities to Shopify inventory, synchronize supplier stock into sellable inventory, perform physical receiving inspection, manage accounts payable, or determine tax obligations. Confirmed tax rates and exchange rates support price calculations; the Service does not provide FIFO or weighted-average inventory valuation. A supplier availability figure is not your store’s on-hand stock. Documents are not treated as proof of delivery or payment.

Supported formats, size/page limits, languages and exclusions must be described in the current published coverage notice: Supported documents and limits. Recognition and interpretation depend on document structure and quality. An accepted file extension does not guarantee that its contents can be read or safely applied. We will describe material limitations accurately and exercise reasonable care in providing the Service.

3. Rules, review and authorization

You control supplier-to-product mappings, currencies, tax meanings, units, effective dates, permitted fields and automation settings. Review ambiguous content and significant changes against the original document. OCR and manual corrections can be wrong; the Service is not a substitute for receiving inspection or independent accounting records.

When you enable supported automation, matching future documents may be processed and permitted changes applied within those settings without an individual approval for each change. Exceptions, conflicts and required extraction confirmations can stop processing. Review settings when your supplier’s format or commercial terms change. Do not use the Service as the sole source of truth for quantities, accounting or business continuity.

Your confirmation does not waive claims for our own breach, negligence or statutory obligations. If you suspect an erroneous update, pause updates and contact support promptly; we will reasonably assist with diagnosis and supported correction. Corrections can be limited by later edits, external systems or revoked access.

External OCR is optional and limited to price lists containing no personal information. Before confirming each file, inspect every page and remove personal names, individual contact details, signatures and sole-trader identifiers. Confirm that you are authorized to transmit the remaining content to Z.AI. The confirmation is tied to that file; automated source downloads do not provide it. We do not automatically anonymize documents. Without confirmation, local CSV, Excel and readable-PDF parsing remains available; files requiring OCR are held for manual recovery without transmission to Z.AI. Purchase documents and files with personal information must use local parsing or manual entry. If vendor conditions become unsuitable, we may stop external OCR and retain local/manual workflows; a material loss of agreed functionality is handled under the notice, cancellation and unused-fee provisions, not an unconditional disclaimer.

3.1 External OCR instructions and disclosed limits

Confirming a file is your specific instruction to send its image pages to Z.AI for extraction. You represent that you have the rights, authority and any supplier permission needed for that transmission, including prices and other confidential business information. Removing personal information does not remove an NDA, intellectual-property restriction, data-location condition or other restriction on disclosure. Do not authorize external OCR if the disclosed arrangement cannot meet those obligations; use server-side parsing or manual recovery instead.

Z.AI's published API policy describes real-time processing without retaining input or generated content. We have not independently confirmed every operational/security-log retention period, onward-processing location, or deletion procedure. We do not provide an additional guarantee of zero retention, a fixed processing country, deletion from every provider system, uninterrupted API access or correct extraction. See the provider notice. We have not obtained a bespoke confidentiality or processing agreement covering unrestricted merchant documents. This limited feature is not authorization to send personal information, and accepting these Terms does not cure an otherwise unlawful disclosure.

We record the disclosure presented, your file-specific confirmation, the file hash, actor and time. Review extracted values before approving Shopify updates. These instructions allocate decisions within your control; they do not waive our own duties of reasonable care, lawful provider selection and management, incident response or mandatory liability. Your remedies and the limitations in Sections 9–12 continue to apply.

4. Accounts and acceptable use

Keep authorized staff access appropriate, protect account credentials, and promptly report suspected misuse. You are responsible for instructions given by your authorized users, except to the extent loss is caused by our breach or failure to take legally required safeguards.

Only submit documents and URLs you may lawfully use and permit us to process. Provide required notices and establish an applicable legal basis for third-party personal data. Minimize personal data. Do not intentionally submit payment-card credentials, government identification documents, health records or other sensitive personal data not necessary for supplier-information processing. Incidental inclusion does not remove our applicable data-protection duties.

Do not introduce malware, bypass access or usage controls, infringe third-party rights, or interfere with another store. Security research conducted within an agreed scope is permitted. Nothing here restricts rights that cannot lawfully be restricted, including applicable interoperability rights.

5. Your content, our software and confidentiality

You retain rights in your documents and business data. You grant us a limited permission to host, copy, parse and otherwise process them only to deliver, secure and support the Service, follow your lawful instructions, and comply with law. We do not use merchant documents to train general-purpose models, sell their contents, or use your name or logo for advertising without separate permission.

We retain rights in our software and documentation, subject to third-party and open-source licenses. You receive a non-exclusive right to use the Service during the agreement for your authorized business purposes. Outputs derived from your content do not transfer ownership of our underlying software to you.

Each party will protect the other’s non-public business information with reasonable care and use it only for the agreement. Apart from the file-specific external OCR transmission expressly instructed under Section 3.1 and its disclosed provider conditions, disclosure is limited to people who need it and are bound to protect it. We do not promise that a bespoke NDA or the protections of our entrusted-personal-data DPA apply to Z.AI; our own duty of reasonable care remains. Exceptions cover information lawfully public, independently developed, or lawfully obtained without confidentiality restrictions. Legally compelled disclosure is limited to what is required, with advance notice where lawful. Confidentiality survives termination while the information remains confidential.

6. Fees, usage, renewal and cancellation

The price, currency, billing interval, trial, included usage, overage charges and applicable taxes shown in the plan you expressly approve govern your subscription. No chargeable plan or overage is authorized merely by these Terms. Development and test status must be clearly identified. Shopify may bill on a schedule different from your Shopify platform subscription.

Failed reads return their document and OCR allowance; attempts remain recorded for separate abuse-prevention limits. Only pages sent to OCR use the OCR allowance. Paid usage follows the verified app subscription cycle, and the limited trial has its own allowance. These periods may differ from the Shopify platform invoice date. We will not impose undisclosed overage charges or retroactive price increases.

Subscriptions renew only as disclosed in the approved plan. Cancel through the method displayed in Shopify or uninstall the app to stop subsequent app subscription cycles, subject to Shopify’s billing operation. Pausing updates is not subscription cancellation. Charges already incurred may still appear on a later invoice. Ask us about billing errors or refunds at the contact above. Mandatory refunds and remedies remain available. Any additional voluntary refund policy must be disclosed in the plan; these Terms do not impose a blanket no-refund rule.

The approved launch plans are Starter USD 29, Growth USD 59 and Scale USD 99 per 30 days, with a 30-day limited trial and no automatic overage charges. See the Operator notice for document, row and OCR allowances; Shopify presents the applicable plan before approval.

7. Privacy and security

The Privacy Policy and applicable DPA describe roles, data uses, recipients, retention and rights. We apply reasonable technical and organizational safeguards appropriate to the risks. No service can guarantee perfect security or uninterrupted operation. This statement does not excuse a failure to provide agreed safeguards or comply with law.

A support grant permits access within its stated scope and duration; treat its token as confidential and revoke it when unnecessary. Operational access by authorized personnel may also be necessary to run and secure the Service, subject to confidentiality and access controls.

8. Availability, support and third parties

Support is provided through the published contact and hours. No 24/7 response, response-time commitment, uptime SLA or disaster-recovery deadline is included unless separately agreed in writing. We will make reasonable efforts to give notice of planned material disruption and help resolve reported defects.

Shopify, supplier websites and other independent services may change, fail or restrict access. Their separate terms apply to their services. We are responsible for our own obligations and selection and management of our contracted processors; third-party involvement does not automatically exclude our responsibility. We do not guarantee that continued access to any external API will remain available.

unkrypt Amend is provided by Ryohei Mizuno, trading as unkrypt. We alone are responsible for the app, its development, operation, marketing, distribution, support and our access to, use, transfer and storage of Merchant Data. Shopify is not liable for faults in the app or harm arising from its installation or use. Except where Shopify expressly states otherwise, Shopify cannot assist with installing or using this app. This allocation does not restrict liability or remedies that mandatory law prohibits excluding.

To the extent permitted by law, we are not liable for loss caused solely by an external event beyond our reasonable control, where neither our breach nor a failure to exercise required care caused or contributed to the loss. This does not exclude responsibility merely because a contractor was involved. We remain responsible for reasonable mitigation and applicable notices, correction, refund and other remedies; Section 11 governs any liability that remains.

9. Suspension and termination

You may end the agreement by cancelling and disconnecting the Service. We may suspend only the access reasonably needed to address a credible security risk, unlawful use, material misuse or overdue undisputed fees. We will explain and give a reasonable chance to cure, normally 30 days for a remediable material breach, unless immediate action is necessary or notice is prohibited by law.

We may discontinue the Service with at least 30 days’ notice where reasonably possible and return prepaid fees for the unused discontinued period. On termination, access and pending automation stop. Export available data before disconnecting where possible; contact support for lawful return or deletion requests. Data is handled under the disclosed retention schedule and DPA. Uninstalling does not guarantee immediate erasure of every backup, reverse completed Shopify changes, or remove charges already incurred.

10. Warranties and limits of use

We warrant that we will provide the Service with reasonable skill and care and materially in accordance with its published description. If it materially fails to do so, notify us and allow a reasonable opportunity to remedy it. Applicable rights to refunds, damages or other remedies are preserved.

To the extent legally permitted, we do not make additional implied promises of fitness for every document, language or business purpose, uninterrupted availability, or error-free results. An illustration or test result is not a guarantee for different documents. The Service does not provide legal, tax or accounting advice. We do not disclaim warranties or guarantees that applicable law prohibits us from excluding.

11. Liability allocation

Subject to the exceptions below and to the extent permitted by applicable law, neither party is liable to the other for indirect or consequential loss, or lost profits, revenue, business opportunities or goodwill arising from the agreement. Labels alone do not determine whether a loss is excluded; mandatory law governs.

Each party’s aggregate liability for ordinary breach or negligence arising from the agreement is limited to the greater of the Service fees paid or payable by you for the 12 months preceding the first event giving rise to the claim, or USD 100 (or its lawful local-currency equivalent). Related events are treated as one event only where lawful and substantively related. Undisputed subscription fees owed are not reduced by this cap.

Neither the exclusions nor the cap apply to fraud, willful misconduct, gross negligence, death or personal injury where limitation is prohibited, or any responsibility that cannot lawfully be excluded or limited. Nothing restricts a data subject’s statutory compensation rights, a regulator’s powers, mandatory consumer or small-business protections, or mandatory remedies. Any limitation of liability for a confidentiality or data-protection breach applies only to the extent lawfully enforceable. These provisions do not make you responsible for our own fault.

12. Third-party claims

Each party remains responsible for its own acts. If a third party makes a claim directly caused by your unlawful submission of content or intentional misuse, you will compensate us for reasonable, documented loss to the extent attributable to that conduct and permitted by law, subject to Section 11. You have no obligation for a claim caused by our modification outside your instructions, our breach or our fault.

We must give prompt notice, permit you to participate in the defense, reasonably cooperate and mitigate loss. Neither party may agree to a settlement that admits the other’s fault, imposes non-monetary duties on it or requires it to pay without its written consent, not unreasonably withheld. This clause does not create an unlimited indemnity.

13. Changes

We will give at least 30 days’ advance notice of material adverse changes to these Terms or the Service where reasonably practicable. Urgent security or legal changes may take effect earlier with prompt explanation. Changes apply prospectively and cannot remove accrued claims. Material new processing purposes or chargeable changes require any notice or consent required by law or Shopify. If you reject a material adverse change, you may cancel before it takes effect and request a proportionate return of unused prepaid fees where the change prevents the agreed use.

14. Governing law and disputes

Subject to mandatory applicable law, Japanese law governs and the Tokyo District Court is the agreed court of first instance. This choice does not deprive an eligible consumer or small business of mandatory local protections or required access to its local courts, and does not restrict complaints to regulators. The parties should first try in good faith to resolve a dispute through the contact above; this does not delay urgent relief or statutory deadlines. No mandatory private arbitration or class-action waiver is imposed by these Terms.

15. General provisions

Neither party may transfer this agreement in a way that materially reduces the other’s protections without consent, except a business succession with equivalent obligations and lawful notice. A delay in enforcing a right is not a waiver. If a provision is unenforceable, it is ineffective to that extent; the rest continues only where lawful. The parties will discuss a lawful replacement reflecting the original legitimate purpose, rather than automatically expanding an unlawful restriction.

The English and Japanese versions are intended to be equivalent. If they differ, English governs only to the extent permitted by applicable law and without reducing a person’s mandatory rights or reliance protections concerning a required local-language version. Other languages and negotiated written commitments must be identified explicitly.
